TERMS OF SERVICE

By accessing and placing an order with Counsely, you confirm that you are in agreement with and bound by the terms of service contained in the Terms & Conditions outlined below. These terms apply to the entire website and web app and any email or other type of communication between you (users) and Counsely.
By using the Site, opening an account or by clicking to accept or agree to the Terms of Service when this option is made available to you, you accept and agree, on behalf of yourself or on behalf of your employer or any other entity (if applicable), to be bound and abide by these Terms of Service.
This Site is offered and available to users who are at least 18 years of age and of legal age to form a binding contract. If you are under 18 you are not permitted to use the Site or the Counsely services.
The Site is available only to users within Indonesia until further notice. By using the Site, you represent and warrant that you meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Site.
Definitions and key terms
To help explain things as clearly as possible in this Terms & Conditions, every time any of these terms are referenced, are strictly defined as:

Buyers are users who purchase services on Counsely.

Custom Offers are exclusive proposals that a Seller can create in response to specific requirements of a Buyer.

Bidding is a feature that users can use to negotiate their rates and services in accordance with their established budget and expectations.

Services are services offered on Counsely.
-
Project Milestones are the metric or point of development reported by freelancers or seller and used to measure the status of the order/project.

Order Page is where Buyers and Sellers communicate with each other in connection with an ordered Service.

Orders are the formal agreements between a Buyer and Seller. They are also called projects.

Community Forum is where users can interact with one another (such as posting portfolio, exchanging ideas, posting job offers, bidding on job offers). The forums are divided into the following categories: IT, UX/UI Design, Graphic Design, Marketing, Communications, Finance, Photography/Videography, Interior Design, Architecture, Engineering, and Accounting.

Sellers or Freelancers are users who offer and provide Services on Counsely.

Seller Page is where Sellers can include all of their information, present a portfolio of other works, showcase their Professions, and anything that could be helpful to Buyers.

App/Application/Web App: Counsely web app, refers to the SOFTWARE PRODUCT identified above.

You: a person or entity that is registered with Counsely to use the Services of the company as a marketplace.
Overview
-
You must register/ sign up to be able to have access to conduct transactions (buy or sell services on Counsely). When registering for an account, you must provide us with accurate, complete, and updated information regarding your business or personal details. You must readily update important information if/when the need arises. You must not create an account for fraudulent/misleading purposes. We are not liable for any acts or omissions by you in connection with your account

Sellers determine their pricing, at their sole discretion. To preserve Counsely’s philosophy of fair-trade, the base price for all services are set to IDR 100,000.

Buyers will pay Counsely in advance when creating/placing an order.

Sellers must fulfill their orders. They may not cancel orders on a regular basis or without justifiable cause. Sellers must understand that routinely canceling orders will negatively affect their reputation and level, potentially leading to be banned from Counsely.

Sellers have the opportunity to accumulate points from completed projects. These points are determined by Seller’s helpfulness, deliverables quality, community involvement, and overall resourcefulness. The points can be exchanged for rewards at participating vendors in Food and Beverages, Banking, Educational Institutions, and more.

Users are prohibited from conducting transactions outside of Counsely. Violations will result in up to three warnings; failure to comply after the third warning will lead to a permanent ban from the platform. Counsely is not responsible for any transactions conducted outside the platform, even if the parties involved initially connected through it.

When purchasing on Counsely, Buyers are granted all the rights for the deliverables. Cousely retains the rights to use deliverables to be published as part of the Seller’s service reviews.
Sellers

As a seller or service provider, you are expected to uphold the highest standards of integrity in your work. This includes delivering excellent services and meeting deadlines promptly. Professionalism in both your language and conduct is essential. Failure to adhere to these standards may result in sanctions that could impact your reviews, hire-ability, and standing at Counsely.

Sellers are able to create custom offers for their services for the general public or directly to a potential client.

Each order sellers successfully complete are accredited to the seller’s account with a revenue equal to 90% of the purchase amount.

Sellers are able to upload their portfolio and accreditations onto their profile in the Counsely web application.
-
Sellers must not promote their services via the Google Ads platform.

Sellers cannot provide a link to other marketplace platforms or external messaging platforms as it will encourage transactions that Counsely will not be liable or responsible for. We discourage sellers from doing so to avoid unwanted misconduct or fraud.

If the Counsely team determines that a Seller has misused the platform—such as by promoting sexual or violent content or engaging in fraudulent activities—the Seller will be permanently banned from the platform with no possibility of reinstatement. In addition, the Seller will lose their status, and any pending earnings will be forfeited. The following actions are considered inappropriate by Counsely, though this list is not exhaustive:

Posting or promoting violent, obscene, sexual content and ideas

Offering to prepare academic works on behalf of Buyers

Promoting Counsely through activities that violate laws, regulations, or third-party terms of service, as well as engaging in any marketing efforts that could harm Counsely’s relationships with users or partners, is strictly prohibited.

Content violating copyright laws

Providing misleading services, claims, and information

Orders may be removed from our listings due to violations of our Terms, poor performance, and/or user misconduct.

Our level system allows freelancers to maintain Counsely’s commitment to promote merited freelancers. As Sellers gain experience on the platform and progress to higher levels, they will unlock access to new benefits and tools to grow their skills.

Project Milestones
-
Sellers have the flexibility to set their own milestones. We encourage them to be as detailed as possible and to use the milestones feature as a powerful tool for accountability. Sellers must not make a habit of changing deadlines or repeatedly requesting extensions.

Sellers can only cancel a project in the event of force majeure or medical emergencies. To cancel a project due to an emergency, Sellers must contact the Counsely Support team.

Once a milestone is delivered and marked as completed, Buyers may provide feedback or request changes per the agreed quota for revisions. If after 7 days buyers are unresponsive and cannot be contacted, Counsely will encourage the Sellers to finish the deliverables the best they can and disburse the payment to the Sellers. Buyers who are dissatisfied with the deliverables but proved to have been unresponsive in providing feedback will not be allowed to leave a negative review on the Seller’s page.
Buyers

Buyers are prohibited from offering payment to Sellers outside of the Counsely platform. Any Buyer found making payments outside of Counsely will receive up to three warnings. After the third violation, the Buyer will be permanently removed from the platform. Counsely is not liable for any misconduct or fraud arising from transactions conducted outside of the platform.

Buyers must maintain decorum in language and conduct. Counsely does not condone or tolerate any form of harassment (sexual, physical, and/or verbal) towards Sellers. We strive to provide a safe and professionally nurturing environment at all times.

Buyers can request a custom offer from a Seller within Counsely to address Buyer’s specific needs and requirements. Buyers are encouraged to “shop” around and ask as many questions as they need before purchasing a service to ensure alignment in vision and understanding of the necessary scope of the project/order.

Buyers can post a job into specific communities to notify of everyone within the said community of the job offer. Sellers will submit their bids. Buyers will choose from submitted bids. After choosing, buyers will be redirected to Counsely’s payment gateway, Xendit and complete payment by choosing the options available on the payment gateway.

Buyers can bookmark sellers they found hireable and refer back to it at any time. Buyers can also make direct bids to a specific seller. When this happens, the nature of the bid will be private and only visible between Buyer and Seller of choice.

When placing an order on the Counsely platform, funds must be obtained from legal sources. The funds may not be directly or indirectly connected to unlawful or fraudulent activities. If the funds used to complete payment on Counsely platform were discovered to be of unlawful/fraudulent sources, Counsely will not be held responsible, liable, or complicit.
Orders

Once payment is confirmed, your Order will be created. Seller will be immediately notified and get to work on your order. Sellers will input major milestones to help Buyers keep track of the project timeliness and quality.

A milestone can only be completed if the Seller and the Buyer are in agreement. If at any time during the project, the Buyer becomes consistently inactive, Seller will continue the project and complete it the best they can. Inactive buyers can request extension or make revisions to the deliverables on the condition that they have reached out to the seller and provided justification for their inactivity/unresponsiveness. The Seller may offer revisions free of charge or they may charge an additional fee if the revision proves to be major and/or time consuming.

Orders may not be completed with Artificial Intelligence. Using Large Language Models or Generative AI to create deliverables will result in account deletion. Counsely will conduct random reviews of works done by Sellers within Counsely to detect AI usage.

Certain orders, such as that of an Architect or an Interior Designer might require Buyers and Sellers to meet in person in order for the Seller to perform the service. In such cases, users should note that Counsely does not guarantee the behavior, conduct, safety, suitability or ability of either Buyers or Sellers.

We encourage you to conduct the payment within Counsely so that in-person meetings between Seller and Buyer will not be vulnerable to misconduct or fraudulent practices. Both Buyers and Sellers agree that the entire risk arising out of their meeting and/or their use or performance of local services remains solely with them, and Counsely has no responsibility or liability related to any local services provided by the Sellers. In the event that the service is performed on the Buyers’ premises, Buyers are encouraged to maintain proper insurance policies to cover their liability as the premise owner. Counsely is not responsible for any physical property damages that may occur.
Handling Orders

When a Buyer places an order, the Seller is notified via email and on-site notifications when logged into their account.

Sellers are required to meet the delivery time specified when creating their Order or Custom Offer. Failure to do so may allow the Buyer to cancel the Order if it is marked as late, which can negatively impact the Seller's level.

When marking an Order as "Delivered," Sellers must provide the completed files and/or proof of work. The "Deliver Work" button must not be misused to bypass Order guidelines outlined in these Terms. Misuse of the "Deliver Work" button, such as marking an Order as delivered without fulfilling it, may result in Order cancellation, a lowered rating, and a warning to the Seller.

Users are responsible for scanning all transferred files for viruses and malware. Counsely will not be liable for any damages that may result from site usage, content, or file transfers.

If the delivered materials do not match the Seller's description on their service page or the requirements initially provided, Buyers can use the "Request Revisions" feature on the Order Page while the Order is marked as Delivered.
Reviews
-
Sellers are encouraged to go above and beyond to maintain their ratings. In doing so, sellers with high ratings and consistently positive reviews will go up in levels. Higher levels mean better access to training classes, rewards, and enterprise level clients.

Reviews can only be made by buyers who have purchased services from sellers.

Buyers who were inactive and unreachable during the project duration cannot make negative reviews as Counsely does not consider it warranted to penalize Sellers for something out of their control.

Reviews will not be removed unless there are clear violations of our Terms.

Reviews will be made public 14 days after submission.

Sellers are not allowed to use friends, acquaintances, or relatives to artificially enhance their ratings. Sellers who are discovered to have artificially enhanced their ratings by placing fake orders using friends, acquaintances, or relatives shall be sanctioned up to three times. After the third sanction, the seller’s account will be removed and the seller will lose all reviews, progress, and history.
Payment
You agree to pay all fees or charges to your account for the Service in accordance with the fees, charges and billing terms in effect at the time that each fee or charge is due and payable. Counsely partners with Xendit as its payment gateway. Buyers will be responsible for the fees that come with Xendit’s payment gateway. Counsely is not responsible for any loss of payment or money in the event that the payment gateway is compromised as Xendit is a vendor that is not a direct part of Counsely. Any attorney fees, court costs, or other costs incurred in collection of delinquent undisputed amounts shall be the responsibility of and paid for by you.
No contract will exist between you and Counsely for the Service until Counsely accepts your order by a confirmatory email, SMS/MMS message, or other appropriate means of communication.

Return and Refund Policy
Thanks for shopping at Counsely. We appreciate your support of Indonesia’s talent and ingenuity. We also want to make sure you have a rewarding experience while you’re exploring, evaluating, and purchasing the services from our freelancers that are available on our platform.
As with any shopping experience, there are terms and conditions that apply to transactions at Counsely. We’ll be as brief as our attorneys will allow. The main thing to remember is that by placing an order or making a purchase at Counsely, you agree to the terms along with Counsely’s Privacy Policy. Our 100% Satisfaction Guaranteed policy will only apply if Counsely found the Buyer’s cause of dissatisfaction justifiable and reasonable. Refund will be issued if Buyer were to remain unsatisfied with the deliverable even after free revisions.
If, for any reason, You are not completely satisfied with any good or service that we provide, don't hesitate to contact us and we will discuss any of the issues you are going through with our product at support@mycounsely.com
Your Suggestions
Any feedback, comments, ideas, improvements or suggestions (collectively, "Suggestions") provided by you to Counsely with respect to the app shall remain the sole and exclusive property of Counsely.
Counsely shall be free to use, copy, modify, publish, or redistribute the Suggestions for any purpose and in any way without any credit or any compensation to you.
Your Consent
We've updated our Terms & Conditions to provide you with complete transparency into what is being set when you visit our site and how it's being used. By using our app, registering an account, or making a purchase, you hereby consent to our Terms & Conditions.
Links to Other Websites
This Terms & Conditions applies only to the Services. The Services may contain links to other websites not operated or controlled by Counsely. We are not responsible for the content, accuracy or opinions expressed in such websites, and such websites are not investigated, monitored or checked for accuracy or completeness by us. Please remember that when you use a link to go from the Services to another website, our Terms & Conditions are no longer in effect. Your browsing and interaction on any other website, including those that have a link on our platform, is subject to that website’s own rules and policies. Such third parties may use their own cookies or other methods to collect information about you.
Cookies
Counsely uses "Cookies" to identify the areas of our app that you have visited. A Cookie is a small piece of data stored on your computer or mobile device by your web browser. We use Cookies to enhance the performance and functionality of our app but are non-essential to their use. However, without these cookies, certain functionality like videos may become unavailable or you would be required to enter your login details every time you visit the app as we would not be able to remember that you had logged in previously. Most web browsers can be set to disable the use of Cookies. However, if you disable Cookies, you may not be able to access functionality on our app correctly or at all. We never place Personally Identifiable Information in Cookies.
Changes To Our Terms & Conditions
You acknowledge and agree that Counsely may stop (permanently or temporarily) providing the Service (or any features within the Service) to you or to users generally at Counsely’s sole discretion, without prior notice to you. You may stop using the Service at any time. You do not need to specifically inform Counsely when you stop using the Service. You acknowledge and agree that if Counsely disables access to your account, you may be prevented from accessing the Service, your account details or any files or other materials which is contained in your account.
If we decide to change our Terms & Conditions, we will post those changes on this page, and/or update the Terms & Conditions modification date below.
Modifications to Our app
Counsely reserves the right to modify, suspend or discontinue, temporarily or permanently, the web app or any service to which it connects, with or without notice and without liability to you.
Updates to Our app
Counsely may from time to time provide enhancements or improvements to the features/ functionality of the app, which may include patches, bug fixes, updates, upgrades and other modifications ("Updates").
Updates may modify or delete certain features and/or functionalities of the app. You agree that Counsely has no obligation to (i) provide any Updates, or (ii) continue to provide or enable any particular features and/or functionalities of the app to you.
You further agree that all Updates will be (i) deemed to constitute an integral part of the app, and (ii) subject to the terms and conditions of this Agreement.
Third-Party Services
We may display, include or make available third-party content (including data, information, applications and other products services) or provide links to third-party websites or services ("Third- Party Services").
You acknowledge and agree that Counsely shall not be responsible for any Third-Party Services, including their accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality or any other aspect thereof. Counsely does not assume and shall not have any liability or responsibility to you or any other person or entity for any Third-Party Services.
Third-Party Services and links thereto are provided solely as a convenience to you and you access and use them entirely at your own risk and subject to such third parties' terms and conditions.
Term and Termination
This Agreement shall remain in effect until terminated by you or Counsely.
Counsely may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice.
This Agreement will terminate immediately, without prior notice from Counsely, in the event that you fail to comply with any provision of this Agreement. You may also terminate this Agreement by deleting the app and all copies thereof from your computer.
Upon termination of this Agreement, you shall cease all use of the app and delete all copies of the app from your computer.
Termination of this Agreement will not limit any of Counsely's rights or remedies at law or in equity in case of breach by you (during the term of this Agreement) of any of your obligations under the present Agreement.
Copyright Infringement Notice
If you are a copyright owner or such owner’s agent and believe any material on our app constitutes an infringement on your copyright, please contact us setting forth the following information: (a) a physical or electronic signature of the copyright owner or a person authorized to act on his behalf; (b) identification of the material that is claimed to be infringing; (c) your contact information, including your address, telephone number, and an email; (d) a statement by you that you have a good faith belief that use of the material is not authorized by the copyright owners; and (e) the statement that the information in the notification is accurate, and, under penalty of perjury you are authorized to act on behalf of the owner.
Indemnification
You agree to indemnify and hold Counsely and its parents, subsidiaries, affiliates, officers, employees, agents, partners and licensors (if any) harmless from any claim or demand, including reasonable attorneys' fees, due to or arising out of your: (a) use of the app; (b) violation of this Agreement or any law or regulation; or (c) violation of any right of a third party.
No Warranties
The app is provided to you "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, Counsely, on its own behalf and on behalf of its affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the app, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice. Without limitation to the foregoing, Counsely provides no warranty or undertaking, and makes no representation of any kind that the app will meet your requirements, achieve any intended results, be compatible or work with any other software, apps, systems or services, operate without interruption, meet any performance or reliability standards or be error free or that any errors or defects can or will be corrected.
Without limiting the foregoing, neither Counsely nor any Counsely's provider makes any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the app, or the information, content, and materials or products included thereon; (ii) that the app will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the app; or (iv) that the app, its servers, the content, or e-mails sent from or on behalf of Counsely are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components.
Some jurisdictions do not allow the exclusion of or limitations on implied warranties or the limitations on the applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to you.
Limitation of Liability
Notwithstanding any damages that you might incur, the entire liability of Counsely and any of its suppliers under any provision of this Agreement and your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by you for the web app.
To the maximum extent permitted by applicable law, in no event shall Counsely or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, for loss of data or other information, for business interruption, for personal injury, for loss of privacy arising out of or in any way related to the use of or inability to use the app, third-party software and/or third-party hardware used with the app, or otherwise in connection with any provision of this Agreement), even if Counsely or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.
Some states/jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.
Severability
If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

This Agreement, together with the Privacy Policy and any other legal notices published by Counsely on the Services, shall constitute the entire agreement between you and Counsely concerning the Services. If any provision of this Agreement is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect. No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and Counsely’s failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision. YOU AND Counsely AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

Waiver
Except as provided herein, the failure to exercise a right or to require performance of an obligation under this Agreement shall not effect a party's ability to exercise such right or require such performance at any time thereafter nor shall be the waiver of a breach constitute waiver of any subsequent breach.
No failure to exercise, and no delay in exercising, on the part of either party, any right or any power under this Agreement shall operate as a waiver of that right or power. Nor shall any single or partial exercise of any right or power under this Agreement preclude further exercise of that or any other right granted herein. In the event of a conflict between this Agreement and any applicable purchase or other terms, the terms of this Agreement shall govern.

Amendments to this Agreement
Counsely reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our app after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use Counsely.
Entire Agreement
The Agreement constitutes the entire agreement between you and Counsely regarding your use of the app and supersedes all prior and contemporaneous written or oral agreements between you and Counsely.
You may be subject to additional terms and conditions that apply when you use or purchase other Counsely's services, which Counsely will provide to you at the time of such use or purchase.
Updates to Our Terms
We may change our Service and policies, and we may need to make changes to these Terms so that they accurately reflect our Service and policies. Unless otherwise required by law, we will notify you (for example, through our Service) before we make changes to these Terms and give you an opportunity to review them before they go into effect. Then, if you continue to use the Service, you will be bound by the updated Terms. If you do not want to agree to these or any updated Terms, you can delete your account.
Intellectual Property
The app and its entire contents, features and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof), are owned by Counsely, its licensors or other providers of such material and are protected by Indonesia and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. The material may not be copied, modified, reproduced, downloaded or distributed in any way, in whole or in part, without the express prior written permission of Counsely, unless and except as is expressly provided in these Terms & Conditions. Any unauthorized use of the material is prohibited.
Agreement to Arbitrate
This section applies to any dispute EXCEPT IT DOESN’T INCLUDE A DISPUTE RELATING TO CLAIMS FOR INJUNCTIVE OR EQUITABLE RELIEF REGARDING THE ENFORCEMENT OR VALIDITY OF YOUR OR Counsely’s INTELLECTUAL PROPERTY RIGHTS. The term “dispute” means any dispute, action, or other controversy between you and Counsely concerning the Services or this agreement, whether in contract, warranty, tort, statute, regulation, ordinance, or any other legal or equitable basis. “Dispute” will be given the broadest possible meaning allowable under law.
Notice of Dispute
In the event of a dispute, you or Counsely must give the other a Notice of Dispute, which is a written statement that sets forth the name, address, and contact information of the party giving it, the facts giving rise to the dispute, and the relief requested. You must send any Notice of Dispute via email to: support@mycounsely.com. Counsely will send any Notice of Dispute to you by mail to your address if we have it, or otherwise to your email address. You and Counsely will attempt to resolve any dispute through informal negotiation within sixty (60) days from the date the Notice of Dispute is sent. After sixty (60) days, you or Counsely may commence arbitration.
Binding Arbitration
If you and Counsely don’t resolve any dispute by informal negotiation, any other effort to resolve the dispute will be conducted exclusively by binding arbitration as described in this section. You are giving up the right to litigate (or participate in as a party or class member) all disputes in court before a judge or jury. The dispute shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Either party may seek any interim or preliminary injunctive relief from any court of competent jurisdiction, as necessary to protect the party’s rights or property pending the completion of arbitration. Any and all legal, accounting, and other costs, fees, and expenses incurred by the prevailing party shall be borne by the non-prevailing party.
Submissions and Privacy
In the event that you submit or post any ideas, creative suggestions, designs, photographs, information, advertisements, data or proposals, including ideas for new or improved products, services, features, technologies or promotions, you expressly agree that such submissions will automatically be treated as non-confidential and non-proprietary and will become the sole property of Counsely without any compensation or credit to you whatsoever. Promotions
Counsely may, from time to time, include contests, promotions, sweepstakes, or other activities (“Promotions”) that require you to submit material or information concerning yourself. Please note that all Promotions may be governed by separate rules that may contain certain eligibility requirements, such as restrictions as to age and geographic location. Typographical Errors
In the event a product and/or service is listed at an incorrect price or with incorrect information due to typographical error, we shall have the right to refuse or cancel any orders placed for the product and/or service listed at the incorrect price. We shall have the right to refuse or cancel any such order whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is canceled, we shall immediately issue a credit to your credit card account or other payment account in the amount of the charge.

Accordingly, those persons who choose to access the Counsely Service from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable. These Terms & Conditions (which include and incorporate the Counsely Privacy Policy) contains the entire understanding, and supersedes all prior understandings, between you and Counsely concerning its subject matter, and cannot be changed or modified by you. The section headings used in this Agreement are for convenience only and will not be given any legal import.
